1. Subject of agreement & legal status

This document governs the provision of rights to use Ninhao Box IT infrastructure and the transfer of related equipment for operational use by the user (franchisee). The governing law is that of the Hong Kong Special Administrative Region. Any disputes shall be resolved at the Hong Kong International Arbitration Centre (HKIAC).

2. Equipment ownership (Hardware-as-a-Service)

All equipment—including automated pickup terminals (lockers), transport label printers, and electronic scales—provided under the 300-kit package remains the exclusive property of OMT GLOBAL LIMITED (Hong Kong). The franchisee may not sell, gift, sublease, or encumber the equipment. Upon termination or breach, the rights holder may remotely disable equipment via IT telemetry and enforce recovery.

3. Licensing & on-site responsibility

The franchisee guarantees possession of all required government, postal, courier, and financial licences for receiving, storing, and issuing shipments in its region. The franchisee is solely responsible for site selection, lease agreements, power, and connectivity. OMT GLOBAL LIMITED is fully released from claims by local regulators in the franchisee's country of operation.

4. Financial obligations & security deposit

The total strategic package cost is EUR 100,000: 40% (EUR 40,000) as a non-refundable franchise fee for software integration, API access, and exclusive brand rights; 60% (EUR 60,000) as a targeted security deposit for 300 physical equipment kits, applied to production and shipment from the Haikou Amit warehouse (PRC). Monthly royalty for cloud telemetry utilisation is 4% of gross locker network revenue or USD 20 per connected kit.

5. Intellectual property & data security

All rights to source code, locker interfaces, and franchise telemetry belong to the rights holder. The franchisee receives access under a SaaS model.
